Terms & Conditions
These terms apply to all products and services supplied by Cartonist Limited (“Cartonist”) to the customer (“Customer”).
By placing an order with Cartonist, the Customer agrees to be bound by these Terms & Conditions.
1. Definitions
1.1 “Cartonist” means Cartonist Limited and its employees, agents, and authorised representatives.
1.2 “Customer” means any person or entity purchasing products or services from Cartonist.
1.3 “Custom Products” means products manufactured or sourced specifically according to the Customer’s specifications and not part of Cartonist’s standard stock.
1.4 “Order” means any purchase request submitted by the Customer.
1.5 “Products” means all goods, materials, packaging items, and related services supplied by Cartonist.
2. Quotation & Pricing
2.1 Unless otherwise stated, all quotations are valid for 14 days from the date of issue.
2.2 All prices quoted are exclusive of GST, unless stated otherwise.
2.3 Cartonist may revise prices if costs of raw materials, labour, logistics, or other external factors change before delivery.
2.4 If the Customer alters specifications (including size, material, flute type, GSM, printing, or quantity), Cartonist will issue a revised quotation.
3. Order Confirmation & Production
3.1 An Order becomes binding only once Cartonist confirms acceptance in writing, including email.
3.2 Custom Products cannot be cancelled, modified, or refunded once production has commenced.
3.3 If the Customer requests cancellation, all actual and committed costs must still be paid.
3.4 Cartonist is not responsible for errors caused by incorrect specifications or artwork supplied by the Customer.
4. Quantity Tolerance (Industry Standard)
4.1 Custom Products may be subject to a ±10% production tolerance.
4.2 The Customer agrees to pay for the actual quantity produced.
5. Delivery & Risk
5.1 Delivery shall be deemed complete when:
Products are handed to the Customer; or
Products are handed to a courier or freight carrier; or
Cartonist notifies the Customer that Products are ready for pickup.
5.2 Risk in the Products transfers to the Customer upon delivery.
5.3 Delivery dates are estimates only. Cartonist is not liable for delays caused by freight, supply chain issues, or force majeure events.
6. Storage of Custom Products
6.1 Cartonist provides 4 weeks (28 days) of free storage for completed Custom Products.
6.2 After the free storage period, Cartonist may, at its discretion:
Arrange delivery and charge applicable freight fees; or
Charge a reasonable daily storage fee; or
Suspend production or new orders if the Customer has overdue payments.
6.3 Natural changes that occur in paper-based products during storage (such as humidity effects) do not constitute product defects.
7. Payment Terms
7.1 Unless otherwise approved, payment terms are:
7 days from the invoice date, or
20th of the following month (for approved account holders only).
7.2 Overdue balances will incur interest at 2.5% per month.
7.3 The Customer is responsible for all reasonable debt collection, legal, or enforcement costs incurred by Cartonist.
7.4 Cartonist may halt production or delivery if the Customer has outstanding invoices.
8. Returns & Quality Claims
8.1 Any quality concerns must be reported to Cartonist within 7 days of delivery.
8.2 Custom Products are not eligible for return, refund, or credit due to change of mind, incorrect ordering, reduced demand, or other non-quality reasons.
8.3 If Cartonist confirms a defect, the remedy will be limited to repair, replacement, or partial refund at Cartonist’s discretion.
Cartonist is not liable for any consequential or indirect losses, including production delays or loss of profit.
9. Limitation of Liability
9.1 Cartonist’s total liability is limited to the value of the Products supplied.
9.2 Cartonist is not liable for:
Indirect, incidental, or consequential damages;
Loss of profit or opportunity;
Losses resulting from delayed delivery;
Issues arising from improper storage or misuse by the Customer.
9.3 Statutory rights under New Zealand law remain unaffected where they cannot be excluded.
10. Retention of Title
10.1 Ownership of Products remains with Cartonist until full payment is received.
10.2 Until full payment is made, Cartonist reserves the right to repossess Products under the New Zealand Personal Property Securities Act (PPSA).
11. Force Majeure
Cartonist is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, supply chain disruptions, and transport failures.
12. Governing Law
These Terms & Conditions are governed by the laws of New Zealand.
Both parties submit to the exclusive jurisdiction of New Zealand courts.
